He has made nothing as his options are out of the money. so that would be a zero. he makes money if he exercises the options. so he wants to lower the price in order to make money where as the price is out of the money currently at his original issue. Options are part of is payment and he has not been getting paid a lot so its a way of paying him through the options he already has.
