On February 12, 2019, the Board of Directors passed a resolution to seek approval from shareholders of the Company at the next annual and special meeting of shareholders (the “AGM”)

in order to reprice all outstanding stock options

granted to current officers and employees of the Company

so that the exercise price would become the greater of: (i) the 5-day volume weighted average price of the Common Shares on the day prior to the date of the AGM and (ii) the Offering Price.
