The undersigned, being all of the Directors of KING RESCOURCES, INC., aka KOJTECH HOLDING
GROUP INC a Delaware corporation (“Company”), does hereby adopt by this Written Consent,
pursuant to the Delaware Corporations Code and in lieu of a meeting of the Board of Directors
of the Company, the Resolutions set forth below, effective March 13, 2019.
WHEREAS, the Board of Directors (“Board”) of the Company deems it advisable and, in the
Company’s, best interest that the Company accept the resignation of Brian Kistler as Chairman
and appoint Junrong Yin as Chairman of the Board.

NOW, THEREFORE, BE IT RESOLVED that the Company accepts the resignation of Brian Kistler as
Chairman and hereby appoints Junrong Yin as Chairman of the Board. Further be it
RESOLVED that Brian Kistler have sole signing power on behalf of the Company and authorized
to deal solely with all vendors specifically but not limited to resident agent, transfer agent,
regulatory persons and banking necessities. Further be it
RESOLVED that each and all the actions of the officers of this Company taken to date in
connection with the negotiation, execution and delivery of the Agreement and of each document
and instrument contemplated therein or related thereto and each of the other actions of such
officers associated with the transactions contemplated therein, is hereby ratified and confirmed;
and
EXECUTED as of the date set forth above.

The shell they merged with (KRFG) has 3 of the companies they own in it to to start but more will be included as they learn the American way of business and developing the products.

I picked a guy to relay a message about my ability to respond but emails are to numerous to respond therefore going forward I cannot respond to all but will to him to respond to questions.

I have an inner ear infection and and just had tubes put in by the ENT doc. I have been fighting the whole ordeal at an inopportune time but things are moving forward.

I have not owned or sold any common stock and all inside stock is restricted. Since being a shell Rule 144 exemption is not available to issue unrestricted shares so the only option to that is to become full reporting and register via the S-1 which is a long fully disclosed process and at this time not in the plans.

The dates on the resolution posted was on purpose to show how long this has been in the works. The method may be criticized but the validity to the potential cannot be.

Regarding the reverse issue :
At this time there is no reverse that has been approved and not on the table and I will advise Mr. Yin to leave well enough alone. That being said I am in favor of no reverse but the final decision is Mr. Yin and everything is being considered including share buy backs and share retirement
