Item 1.01 Entry into a Material Definitive Agreement.

On November 6, 2018, Synergy Pharmaceuticals Inc. and certain of its subsidiaries entered into Waiver No. 4 (the “Agreement”) to its Term Loan Agreement dated as of September 1, 2017 (as amended, modified or otherwise supplemented from time to time, the “Term Loan Agreement”) with CRG Servicing LLC, as administrative agent and collateral agent and the lenders party thereto (collectively, the “Lenders”). Pursuant to the Agreement, the Lenders waived compliance with Section 10.01 and related provisions of the Term Loan Agreement from November 6, 2018 to November 12, 2018. The Agreement is attached as Exhibit 99.1 to this report on Form 8-K and is incorporated herein by reference.
