The merger can't happen until the company gets the money. They can't get the money until they sell the stock. The S-1 says its only a non-binding LOI with no guarantee it will ever be consummated. Cart is before the hose, heck, the horse can't even see the cart it's so far ahead.
And, no matter what, the acquisition of a $25M company by another company with 200M shares of stock outstanding is worth about $0.125 in value to those shares. Simple math.
Not even nFUSZ is saying a new company will be formed. Know why? Because it won't! Even if they sell enough stock to make the acquisition, the end result is nFusz with a subsidiary of Sound Concepts. That's exactly described in the S-1.
