Why would anyone pay for shareholders when all they want is the plant and equipment. I will even bet, they don't want this company to even be a trading stock company when they don't need to raise capital. I will bet they take this plant private and it is part of any bid they may put in. I don't see anything for the shareholders. Why would they pay more than necessary? JMHO
