*On 6/29/18, the Issuer entered into an Acquisition Agreement with Dixie Belle’s Restaurant Group, Inc., a Florida corporation, (the “Agreement”) wherein under a share exchange per the Agreement, the above stated common stock was issued. (Also, see Section “6, “Describe the Issuer’s Business, Products and Services”). In addition, 1,000,000 shares of Series A Preferred Stock of the Issuer was transferred per the Agreement from the DLJ Family Limited Partnership to RSB Partners, LLC, a Florida limited liability company, which as a result of the transfer, became the controlling shareholder of the Issuer.
As recorded on the books and records of the Issuer as of the date of the Acquisition Agreement, prior to the actual date of the transfer agent’s issuance of the shares.
