Other Stock-Based Awards. The Board is authorized to grant other stock-based awards, including shares of Common Stock awarded purely as a bonus and not subject to any restrictions or conditions, shares of Common Stock in payment of the amounts due under an incentive or performance plan sponsored or maintained by the Company, stock equivalent units, deferred stock units, and awards valued by reference to the value of shares of Common Stock. The Board may condition the grant or vesting of such Other Stock-Based Awards upon the attainment of specified performance factors or such other factors as The Board may determine. The Board may also provide for the grant of Common Stock under such awards upon the completion of a specified Performance Period.
