I noticed on that transaction, there was no 8-K filed, no audit of the acquisition no amended 8-K and no mention of the transaction in subsequent events in the 10-K or subsequent filings, except for the PRE and DEF 14 filed which just disappeared.
It is entirely possible that this acquisition candidate is not auditable, which is why he went from a registrant to a non-registrant shell and is involved with misrepresentation or partnering in rent-a-shell schemes for press releases to sell stock.
The SEC needs to look into this, and the good thing is the prior merger candidate has an SEC reviewer and can be easily contacted.
