DXP Enterprises, Inc. Announces Strategic Acquisition of Gulf Coast Torch & Regulator
DXP Enterprises, Inc. (NASDAQ:DXPE) today announced that they have completed a strategic acquisition of the business of Gulf Coast Torch & Regulator, Inc., a full service distributor of welding supplies. The acquired business has operated in Houston, Texas since 1978.

DXP paid approximately $5.5 million, net of acquired cash, for the acquired business and assumed approximately $0.2 million worth of debt. The purchase price consists of approximately $3.5 million paid in cash and $2.0 million of promissory notes payable to the former owners of the acquired business. The cash portion was funded by utilizing available capacity under DXP's bank revolving credit facility. The promissory notes, which are subordinated to DXP's revolving credit facility, bear interest at prime minus 1.75%

The unaudited sales and EBITDA for the acquired business for the nine months ending September 30, 2006 were approximately $13.2 million and $850,000, respectively.

John Jeffery, Senior Vice President of Sales and Marketing, said, "This acquisition complements our MROP, Innovative Pumping Solutions and SmartSource business units by adding product expertise and procurement cost savings in the welding supply area." Mac McConnell, Chief Financial Officer, stated, "We anticipate this acquisition to be immediately accretive to earnings."
