Solomon will end up owning 10% of the company either way. If he can get the TRW loan and cash dividends he will have earned it too. I don't think he will convert now but later at a more respectable level, like $3.

This problem will take care of itself and can't be compared to the Garrett convertible note. In general the market doesn't care about compensation plans.
