ownership of funds: unlikely
ulterior motive of Sam: take the company private and on the cheap
tax rate: between 25%-40% when NOL is reconciled
liability: issues,financial and legal,from merger and acquisition(based on past record,risk factor is @25%)
or
the $1.38 high would not be breached until 2019.

For me,without a likelihood of pe>7-10,I would not buy and sell when the price is above $1.08.
