Easy, we agree that the BODs should be replaced. What we disagree on is your premise that rejecting the share authorization will accomplish that. If I throw a tantrum because I cannot throw out the board so I reject the shares I am engaged in a disconnected strategy that only hurts the company, not the BODs.
