That is a legit question itsmine. The answer is no, I am not a CPA. The obvious quesiton which follows is "then what makes me think I know what the heck I am talking about with this 8K?" Let me answer that one too.

1. I have been reading and studying SEC audited filings for nearly 20 years in a professional capacity. I read them in great detail and the number I have read is in the thousands by now. I have been reading them as a financial watchdog specifically for 3 years now and have taken the time to learn how SEC accounting and GAAP work in the process through other activities like..

2. I was personally responsible for preparing SEC filings including audited financials, 10K's 8K's, 10Q's, SB2's and S1's on a full time basis for 7 years. During that time I was directly involved in their perparation not only for my own company but for companies I was consulting for. As a result I not only hired my own CPA to audit my books and was very active in the process, I also worked with other auditors regularly and questioned them constantly about procedures and GAAP and SEC rules regarding accounting. (GAAP = Generally Accepted Accounting Procedures). After doing it this long, if one studies as diligently as I did, one learns the rules and the procedures quite thoroughly.

3. As the publisher of a financial watchdog website, I even hired a forensic CPA to review my findings on what I percieved to be some bogus assets on the books. I published this accountants findings, which supported my findings on my website and submitted them to the SEC. As a result the CPA quit and the company was never able to get another audit published. The company was subsequently delisted to the pinksheets and the SEC then suspended trading and further removed the the company's stock from the pink sheets.

As a result of all this experience, I think I can speak with some degree of authority about the subject of audited financials, particularly as it relates to asset valuation.

Finally, I have submitted my findings to someone of competent authority and that person has confirmed my findings. The referal was confidential so this is all I am going to say on that subject so take it for what it's worth.
