No, I you're wrong Rookie. Alexander holds control, 78% last I checked - until the S-4 is filed. Rufus and Ben are just paid solicitors. It's all there in the merger filing, and I really hope I don't have to go back through this again. You're smarter than that.

Someone who holds CONTROL of this shell (Mike Alexander) PAYS THE BILLS (or at least authorizes them).

Good stocks are obvious. Extensive DD is how you convince yourself to buy a bad one.
