So many questions. My honest opinion would be to do the proper dd before you buy penny stocks. Will try to answer your questions.

1. UPZS SS not gagged. TA will provide you the latest SS. They don't hide anything from you.

2. No Change in SS does not mean company cannot sell shares. AS:900m, OS:510m. They can issue or sell upto 390 million shares.

3. VNDM on ask does not mean Its dilution. Yes most of them use VNDM to sell into the market. But some retail traders also go through VNDM. Also VNDM could be just a MM showing up on the ask with 10K with no more than 10K shares. I believe that's the case with UPZS since I watched UPZS level 2 closely last 45 days. Again I might be wrong.

4. UPZS one of the undervalued trips with AS:900m, OS:510m, Revenue: $2m annual, Pink Current. Rare to find trips with this low ss and revenue.

Trading penny stocks all about risk/reward. UPZS could be 1 cent stock or go back to 0.0005. Play accordingly. I did my DD and believe this will be 0.003+ stock one of these days with hot penny market. Good luck.
