With a current market cap of 13.2 million and an outstanding of 441 million shares with no real assets (just a tax loss to be taken advantage of) something is going to implode. If I was doing this deal or investing in the company going forward (not just a retail investor but as an accredited investor taking actual 144 paper from the company) I would want to see a 10 for 1 reverse split first to strengthen my position and get rid of previous shareholders
