"the 4 you want to control the BOD are all nominees of CJ, Pohl and Swartz." may be true, but were the 3 new folks not selected by an independent committee? Likely not for SK, but I thought that was OK.

Are you saying 1) the independent committee is not independent after all, but somehow controlled by the 3?, or 2) the 3 independent nominees are not really independent but somehow controlled by the 3.

Somehow, neither of those alternatives seem likely
