1. Experience Art and Design, Inc. (“EXAD”) (CIK No. 1514888) is a Nevada corporation located in Las Vegas, Nevada with a class of securities registered with the Commission pursuant to Exchange Act Section 12(g). EXAD's Forms 10-K for the periods ended December 31, 2013, 2014, 2015, and 2016 were materially deficient because they failed to include audited financial statements, as required by Exchange Act Section 13(a) and Regulation S-X. As of September 7, 2017, the common stock of EXAD was quoted on OTC Link operated by OTC Markets Group Inc. (formerly “Pink Sheets”) (“OTC Link”), had five market makers and was eligible for the “piggyback” exception of Exchange Act Rule 15c2-11(f)(3).

As discussed in more detail above, all of the Respondents are delinquent in their periodic filings with the Commission, have repeatedly failed to meet their obligations to file timely periodic reports, and failed to heed delinquency letters sent to them by the Division of Corporation Finance requesting compliance with their periodic filing obligations or, through their failure to maintain a valid address on file with the Commission as required by Commission rules, did not receive such letters. 6
Could EXAD become active again by providing the audited financials they were asked to provide? The SEC will go over them with reading glasses on for sure.
