Dont you think that if this was all smokes SEC would have done something about it already when the first $1B "thing" came trough. Even more now. Doubt SEC cares much when 8-K's are throwing around "$1M! DEAL!!" but "1.5-2B" - different story here. Actually asking before you ask me that.
