On June 20, 2017, the Issuer provided notice to the Financial Industry Regulatory
Authority (“FINRA”) of its intention to effect a 100-to-1 reverse stock split of the
Issuer’s Common Stock (the “Reverse Stock Split”). Pursuant to the terms of the
Reverse Stock Split, no fractional shares will be issued to any stockholder. Instead
of issuing such fractional shares, the Issuer will issue one post-Reverse Stock Split
share of Common Stock for each fractional interest created by the Reverse Stock
Split.
