fhal was going bankrupt. It's deficit allowed cvsu merge into fhal and invoke the restructuring rules that allow price resets.

A nearly 1 for 1 example of this is TBV. Tanshi reverse merged into Strategica and traded their shares for shares in strategica. The merger involved a restructuring with strategica being the "bankrupt shell" (just like fhal), and Tanshia being the company with the assets needed to jump start the pps (just like cvsu). You can read their 8-k from sept, 2003 and it describes all the stuff we are going thru with cshd here.

Look at the open and close for the date of 09-25-2003, you'll see the price reset. Yes I said price reset, and it included a 1 month trading halt to boot.
