On November 3, 2014, the Company entered into a Stock Purchase Agreement with CFA. Pursuant to the terms of the Stock Purchase Agreement, the Company
agreed to issue and sell an aggregate of 10,000,000 shares of the Company’s Common Stock to CFA at a price of $0.50 per share for aggregate gross proceeds of
$5,000,000. The transaction was deferred until later, with the expectation that the Company may be considering a more significant raising through alternative
structures, which tentatively were expected to become available in early 2017.
