Violations of SEC regulations, including filing false or materially misleading information with the SEC does not necessarily result in criminal charges being sought. The SEC prosecutes violators in three ways, administrative actions, civil litigation and if they feel the situation is griveious enough to warrant it, they enlist the assistance of the DOJ and the DOJ will file criminal charges. Sometimes, as I have learned in the past, they also do nothing.
It takes some pretty serious criminal activity for criminal charges to be brought and I am certainly not in a position to judge which is the case here. I just know SEC regulations have been violated.
