The Sulja acquistion corp was to move the Canadian operations in paper into Sulja Brothers. The conversion to US happened in the acquisition corp.

This was a hostile takeover with a reverse merger name. Hostile takeover includes buying the shares and booting the old management. No shareholder vote needed.
