What exactly does this mean?

"The sale of TMM will be an all-stock deal. TMM shareholders will receive 20% of Cinemax Pictures on a 'Pro-Rata' basis."

And further down the line it said Obion corp will set aside 25 bil shares for TMM shareholders at no cost to them.

Can someone explain that in English?
