Multiple terms of the Breathe LLC Settlement Agreement have been violated, which then triggered the condition that the offending party pay $150,000 in accrued legal fees. This is very clearly presented in black and white in the Settlement contract.

May I suggest that prior to attempting to defend Seth Shaw and calling the civil action frivolous, maybe it would reasonable to actually read and understand the conditions spelled out in the Settlement Agreement, which Seth Shaw clearly signed! It appears Shaw's inaction is indefensible! Seth Shaw was made aware of the violations and has chosen to blatantly ignore the communication. Breathe LLC had no alternative, but to file the civil action in an effort to force Seth Shaw and White Fox into compliance or be found guilty of violating the Agreement terms.

BTW...Breathe LLC's attorney even knew how to timely file a demand a for jury trial! TAUG's attorneys should be taking notes!
