Thank you Rock!!!- this brings up th 5% NOL, DTA question from the other day. so a straight merger is problematic. There are sophisticated wasy minimize rasing capital or restructuring, pretty sophisticated usually. The IRS made rules to limit the sale of a company with NOL's heck they would be losing money. Even though they collected Inc Tax from profits in the past. no way they are giving anything back.

One way i read that blackrock was doing for a company. Was setting up pfd shares with voting rights and conversion rights over like three years. So the new equity had voting to protect themselves and most but not all of the NOL was to be retained.
