What it requires is a Form 10K, which is about as thorough as a Form 10SB in its disclosure.. and the 10K must contain an audit of the combined financials.. from a post merger perspective.

There has been no Form 10SB filed.. if it had been.. on EDGAR. What yahoo is using is the unaudited financial statements from the 8K.

You are correct that both the Form 10SB and Form 10K require audited financials.

The NASD does not require a Form 10SB or Form K to grant a name change and symbol change since neither has anything to do with the substance of the company.. just what you call it and how it is identified on the trading system.

I appreciate your thoughtful post but you must remember.. all filings by the company will appear on EDGAR.

If it's not disclosed there.. it doesn't exist.
