The Reorganized Debtor issued Runoff Notes...

...to essentially "pay" for the valuation of WMMRC (the name used at one point for the reorganized debtor) and as per the Blackstone valuation.

...so, in order to get the reorganized debtor with the $6B NOLs, the reorganized debtor financed the purchase price with the Runoff Notes.
