...and they haven't filed anything with the SEC, and don't show the assets on the balance sheet.

They don't have a balance sheet. They aren't an SEC registrant, and they haven't "filed" anything with OTCMarkets since the middle of 2015.

And as TenKay pointed out, they'll have to run any proposed merger past FINRA.
