Please read the enhanced portions of this filed document CAREFULLY. Then please explain to me how I might be confused by why the words "issued" and "accepted" were both clearly used twice in a report to the SEC under the possible penalty of perjury? I am again providing you with definitions for "issued" and "outstanding" shares below, in sincere hopes at some point your misguided understanding of these terms improves.

On March 15, 2016 the Registrant issued 440,000,000 shares of its common stock pursuant to an exemption from registration provided by Section 4(2) of the Securities Act of 1933. The offering was not a public offering as defined in Section 4(2) due to the limited number of persons that received the shares, the manner of the offering and the fact that the individuals that received the shares were officers and employees of the Company. In addition, the investors represented that they had the necessary investment intent as required by Section 4(2) and agreed to and received share certificates[/b] bearing a legend that stated that the securities were restricted pursuant to Rule 144 of the Securities Act. The shares were issued in exchange for services.


Issued shares defined- What are 'Issued Shares'?
Issued shares are the authorized shares sold to and held by the shareholders of a company, regardless of whether they are insiders, institutional investors or the general public, as shown in the company’s annual report. Issued shares include the stock a company sells publicly to generate capital and the stock given to insiders as part of their compensation packages.

Outstanding shares defined- BREAKING DOWN 'Outstanding Shares'
Any authorized shares that are held by or sold to a corporation’s shareholders, exclusive of treasury stock which is held by the company itself, are known as the outstanding shares. In other words, the number of shares outstanding represents the amount of stock on the open market, including shares held by institutional investors and restricted shares held by insiders and company officers.
