Jack, I could be wrong, but I seem to remember that the use of the Preferred shares kicked in if there was a change of control. In my view, the request for a shareholder meeting doesn't result in a change of control, even if Ed is tossed off the BOD, as the BOD is still in control.

I don't know that the BOD has the capacity to use the Preferred shares as you have described.
