On January 26, 2016, the Registrant and Acorn entered into a subscription agreement (the “Subscription Agreement”), pursuant to which Acorn has purchased 55,530,555 shares of the Registrant’s Common Stock. In consideration for such Common Stock, Acorn has paid an aggregate of $693,913.03, from cash on hand.
