The Poison Pill have ZERO negative side effects because it will NEVER keep a, say, BP from making an honest offer through BoD/Management channels. It only keeps away the HOSTILE attempts to do so.

So think that because the Poison Pill is in place the possibilities of acquisition for instance diminish while in the real world it only keep hostile acquisition attempts for forcing PPHM's hand because the Poison Pill doesn't even keep a BP from making a breadcrumb offer. They still can but they just can't force the shareholders to swallow it by getting involved in the vote and pass their own offer.
