Monsanto didn't create a stichting because they aren't based in the Netherlands and no one was trying to acquire them.

Stichting is a defensive move rather than an offensive move.

As far as cost, I don't think it amounts to anything more than some legal work and a shareholder vote to cancel. I don't know if that amounts to a small fortune.
