EDIT: what was the reason for the RS?

I'm guessing, based on the ATM agreement with Cowan & Co. and the statement in the CC about DJ not wanting to see COH much lower than it was, that they wanted to sell new shares into market to bolster their cash position. Since authorized was not reduced, they can get a ton of cash that way regardless of how low they drive the price.

Combined with the folks giving up share-based compensation (? Do I remember correctly? I'll have to check the transcript), they don't feel the pain and they raise cash.

WAG by me, but that's the theory I'm considering based on what I'm seeing in my stuff and the fact that none of the traditional TA stuff results in even a hint that things act as traditional TA suggests for a very long time now.

Ultimately self-defeating if one of the goals is to get institutional investors involved.

EDIT: remember that they did a "test" in the last month of the quarter.
