STJ acquires THOR for $63.50/sh in cash:

The buyout price is a 30% premium to THOR’s closing price on 7/20/15 (before news of the pending deal leaked). The nominal deal value is $3.4B.

Under the terms of the agreement, THOR is permitted to solicit rival offers for 30 days.
