Thank you for contacting the U.S. Securities and Exchange Commission (SEC) on April 2, 2015. During our discussion, you noted that FTE Networks, Inc. (FTWN) filed a Form 10 with the SEC on March 17, 2015, and asked when the filing would become effective and when trading could begin.

A Form 10 filing becomes effective automatically 60 days after the filing is made. However, notwithstanding the automatic 60-day effectiveness, a Form 10 remains subject to review by our Division of Corporation Finance (CF). There often is no definitive timetable for the completion of CF’s review.
