Shareholder approval is a RED HERRING, very, very few R/S's that are proposed by are voted down.

And the reason for that is because if a proposed RS does not go through so more shares can be sold (more dilution) and critical funds raised to sustain operations, it means game over. Existing shareholders may hate it, but they would hate their shares becoming worthless even more.
