There is two parts, the sale of shares from RCCH and the sale of the shares by gendarme to the public market.

Two issues, was RCCH legally able to instruct its transfer agent to issue unrestricted shares? and; could gendarme act as "underwriter" underwriting a public offering without being a registered agent, and not providing the publicly required company information (e.g. Prospectus , audited fins, etc.).

There was violations on both sides of the transaction, sec sues the main perp. Genderme and RCCH gets global locked.
