On September 18, 2013, the holders of MusclePharm Corporation's (the "Company") Series B Preferred Stock (i) voluntarily waived all of their rights as holders of the Series B Preferred Stock (including, without limitation, voting control of the Company), and (ii) agreed to cancel all of their shares of the Company's Series B Preferred Stock.
