Hello Mr. Parilla,
I would like to first of all thank you in advance for reading this email.
I understand you and your company are under a lot of pressure not only from the SEC suspension but the shareholders as well. I have nice position in your company and at times follow the message boards and I have to say, a lot of people are not very happy with what has happened with Fortitude. As an owner of multiple companies, I understand that in business, almost nothing turns out how we would like things to turn out and that is just the cost of doing business in today’s world. There are many people posting emails that you have sent shareholders which is doing nothing but damage in the eyes of shareholders.
At any rate, I do see immense value in one of your lines of revenue and that is the Affinity Black Card. I have some connections to players in the payment industry across North America and I am not sure what your plan is for that line of business but if you could become the “standard” payment card for the MJ consumers there could be a lot of money to be made, you will just have to come up with some strategic partnerships and possibly rewards programs to entice both dispensaries and consumers to use frequently.
Would you mind please updating me on your Affinity line of business and where you are taking that portion?
Also, I am quite puzzled as to the fact that Fortitude feels that selling a portion of the business to Cascade and issuing shareholders shares in that company. I believe you have stated that you feel that you need to move away from the MJ business as there is a lot of crack down on companies in that industry. What is to say that Cascade will not be halted and the shares that we receive in that company become substantially less valuable? I feel that moving business lines that you want nothing to do with over to another company and in return giving shareholders shares in that company could quite possibly be a very irresponsible move. Why would you give shareholders and opportunity to have shares in another company that has business lines that you do not want to be a part of?
I am still optimistic about your company however I wish there was a little more “focus” on the lines that will actually bring in substantial revenues for yourself and your company.

We are still conducting business and working on cleaning up our capital structure. I am sure you understand that we are inundated with emails since the trade halt which is why it is difficult to return each and every email in a timely fashion.
Has anyone received a reply back from Parilla in the past 2 weeks?
File an FOIA request to retrieve the list of share certificates issued in blocks. These will be held by offshore entities - those are then shares he is selling.
Has anyone been in contact with the company in the past 5 days? I have not had a response to my email from over a week ago to them.

Tom Parilla has offshore accounts where he has blocks of shares deposited which are well under 5% of total OS in each account. He is selling these into the market on PR's, and volume days. He does this on every deal and once he has no more shares to sell, he moves onto the next deal.

I have been in this market for just over 12 years and own a number of my own private companies, so i have been watching this company for the past 2 months to see what has been happening.
It is too bad Parilla is unable to capitalize on what he actually has in his company. The Affinity Card is his golden ticket if he had the drive to push that forward. The cash card market is huge and if he could grab market share as the "standard" card in the MJ industry coupled with a rewards program, he could really build value in this company and would have something of substance to develop for not only himself but shareholders as well.
It's a shame he is just all over the map.

A company spends money on buying back shares, now why would a company do that? One answer is they knew someone was in the wings to buy so they decided to scoop up as many cheap shares as they could to resell them to the next buyer... To take a risk and spend money to buy back shares if you have no exit strategy is just a fools game.

Right... Well regardless of the SEC or the OTCBB or the PPS, Mr. P has an opportunity to grab a huge market share of the MMJ market with his card if he has a solid plan.
Being public is not the end all of his business. He could be downgraded, delist and roll shares into private shares and issue dividends that way.
All I have to say is this, if Mr. P does not follow through and the company goes south, i will be the first one to call him to acquire rights to his card and gain market share with a private company to capitalize on the opportunity that is right in front of his company at this moment.

In case you are not up to speed on numbers.
Stocks receive suspensions all the time. It could be because there was not something disclosed, non-filings, etc... Don't get all in a bunch about it.
If he has a solid plan from the beginning, then it doesn't matter if the SEC, DEA, etc... is on your back. In business, if your nose is clean you keep your eyes on the price and the road map you have laid out, the rest is just "speed bumps" along the way.
I am not sure what Mr. P has in mind for his revenue lines but if I were him OR the "Acquiring" company, i would try to make the affinity card the STANDARD in the industry and come up with some type of a rewards program in conjunction with the card to entice every dispensary & pot head to use the card. Finance is a massive industry and if Mr. P can carve out a niche in this industry with his card - think about it...
I find this board quite hilarious. I do not understand why everyone here is wasting so much time speculating. The stock got suspended - who cares, it happens all the time. No matter what everyone complains about it will not change anything.
I think everyone who is a doubter about the buyout price is really not quite clear about how business really works in the world and you need to look at the big picture. It doesn't matter how much your stock is worth, it is what is behind the company and where it is going - that is all that matters in acquisitions. FRTD has the opportunity to be the player for commerce in the MJM world with their card, who else is stepping up to the plate to try to make that happen? Does anyone understand how much that could actually be worth if it gains market share?

Dutchess drives the stock down hard so that they can buy low at their discount from EHOS, then will drive the stock up to sell. This happens in all financing deals - shady. Dutchess does not care about the company, they just want to make the spread on the sale.
