yep. hopefully they can use other means than shares for the acquisition. Some shares are probably a good idea to incentivise. They really had no other option with the SUNworks acquisition, but now they have cash and good future outlook to work with.

he helped get us through the lean and hungry times and now he's taking a vacation whilst momentum from news pushes this stock higher over the next week or so
they might be a target but it would be difficult for any company to compensate solar 3d for what they are and will be worth. Everything appears to be going well with the progression of getting the cell to market. It doesn't seem like they are looking for a quick payout right now, since they are in talks with manufacturers to license out the 3d cell. and SUNworks is growing so fast, selling now would really undercut a lot of the value that will be generated over the next few years.
Also, Jim Nelson is due a lot of bonus shares upon completion of certain goals. I think 16M more (he recieved 4 million for revenue generation upon the acquisition of SUNworks), available next year. So he would be missing out on a lot of money as well if he decides to sell. and Jim seems to be judge, jury and executioner of this company. I believe it would be his decision in the end.
And finally, they would not be actively (in discussions with firms) seeking additional acquisitions for themselves if they were entertaining the thought of being bought out themselves. these acquisitions really mess up the financial statement (esp the balance sheet) short-term.
I'm biased though because I am long on this stock/company and want to see it go to $4.00+ and not a quick 30 cents. we shall see

I like this acquisition theory. it all fits into place at least. Abe leaving, an early 10Q, the lawyer coming back on board. maybe they're getting the 10Q out early with the established 7.4M in revenue. and then soon after comes an acquisition
When you unload that many shares you tend to drop the price. they sold 50,000 shares at .069. 30,000 shares at .067 and 30,000 shares at .0665.

S3d filed a patent a while ago, received feedback (disputes) on it (the X's and Y's you guys are talking about) and revised/updated the application for a second go round. they then received feedback on this one with less X's and Y's, which is good. so they have less disputes regarding the uniqueness of their technology or design on some features of the cell.
I wonder if most companies resolve all issues with these X and Y disputes, or if they send in (to the national patent offices) what they feel is good enough at some point. I'm assuming they cant satisfy all of the disputes on features.

Many silicon valley and tech start-ups in general do not use patents. If other companies would have difficulty replicating the technology, than patents wouldn't be quite as valuable. Silevo has at least 63 patents.
here's a summary of the last several posts regarding the patent as i understand it. someone correct me if im wrong on any point, this is not my domain and I'm thinking out loud here:
international patent is a process where the patent office searches for other similar technology to figure out if solar 3D's technology is indeed novel in some way.
it is also an opportunity for others to argue that the tech is not novel in some way (competitors).
It allows for simultaneous patent submissions in many participating countries (I'm assuming all of the western countries are included), if the patent is approved.
it fast tracks these patent application submissions, IF it is approved.
It buys them some time before submitting these applications to individual countries. if they have to appeal or argue their case, then this allows them the proper time to do so. They could then gain approval based on new information they present, or new arguments.
Solar 3D has already filed AT LEAST 2 patent applications (separate of the international patent) with China and the U.S, but we don't know the results or status of these yet?
there have been several indications that the initial patent they submitted have some arguments against its novelty, at least in some aspects (so maybe not the entire design of the cell but one detailed component of the cell).
They filed several patents on different aspects of the cell (I believe bucky stated this earlier), some will/may be approved while others will/may not be approved? IDK about this part but it seems logical. maybe the entire cell as a whole is patent-able, or maybe specific components? or both.

that's one good reason not to unveil anything significant. there are a few other reasons.
They don't have the patent yet, so there could be concerns about intellectual property being stolen at the moment. Not that some Chinese companies generally give a damn about patents anyways.
Giving out significant information would pressure Solar 3d to finalize the cell before it is ready.
They might want to line up all their ducks in a row first. JN might want to find a manufacturer for the test prototype first, before unveiling news. Then again you would think he would garner more attention and possibly better offers (a bidding war) if he released info on the cell first.
I think its possible Jim is trying to balance keeping the cell news uninformative at the moment and keeping investors happy. So he has been referring to the status of the cell but in a very generic way each press release.
It would be less dilutive for us shareholders if they waited until the stock price was higher, I would rather them issue 20,000,000 shares at .30 than 100,000,000 shares at .06. Ideally they would wait until they have enough cash to pay for most of the buyout without issuing too many convertible notes. The conv. notes provide a nice incentive though. Maybe the company could provide stock options to employees like starbucks. With revenue and hopefully profits soon, I would hope they lessen the use of conv. notes in the future. Especially for us investors sake. Solar 3D is no longer a startup company, they are a growing small business. At least that's my slightly educated opinion on this.
It would be interesting to see if they wait to acquire another company before or after the release of substantial cell news, testing or manufacturing. You would think that would be very attractive to small(er) but growing companies. Whether they are inverter manufacturers or other installation companies. JN has reiterated about an acquisition this entire year, so I think that's inevitable.
JN is trying to grow SUNworks and the installation side of things as quickly as possible, IMO. at the rate SCTY is growing they need to gain as much market share as possible so they can do battle with them in the future. SCTY turning into a comcast or verizon would be bad news for other installation companies. There is a ton of room for growth right now though, and smaller companies can still get a piece at the moment

I couldn't agree more. Solar seems like such an obvious direction in energy that I have a hard time figuring out why more people don't see it. many do though. I guess its all about when, not if, and some people believe the "when" is still far away. which i disagree with.
the alternative fuel cell stocks went crazy a few months back. everything from FCEL and PLUG to HYSR went through the roof. that reminded me of a gold rush, and i remember thinking that at some point, perception is going to change and attention is going to shift towards some of these solar stocks.
I think we could have something like that, a quick rapid price jump. But I know/think solar will have something more substantial down the road. it will have a strong backbone to it unlike the fuel cell stocks.

I like the idea of New Jersey or Massachusetts. But I dont know about splitting up your company to completely opposite ends of the continent.
If it were me, i would allow SUNworks to grow organically at the fastest pace quality can support, and then choose an adjoining state like nevada or arizona to buy an existing installation company. Or choose a location far away from Sacramento, since california is huge state. really, its like 4 states in one.
I like the idea of nevada though, solar is starting to gain some momentum there. If they can find a goldilocks company to buy, not too big and not too small.

is it possible at some point in the future, SUNworks does a 5+ Mw installation? if some of these fairly large agricultural installations are 400-600 Kw, then i can't imagine what a 5+ Mw installation would look like? Or is this not a very practical expectation? I know that some of the solar power plants are 150-380 Mw, and they are huge.
A solar 3D power plant (350+ Mw) installed by SUNworks using 3D cells has a nice sound to it :)

with regards to the 2nd quarter 10Q, I'm hoping that it establishes a nice floor for the stock price, something with a forward looking P/E of around 10 or higher.

Yeah I've only been in penny land since I got into this stock in January, but I have noticed it seems harder to chart accurately. at any moment someone can dilute the market with shares and drive the price down quickly. Or based on no new news there can be a buying spree and drive the price up 22%. It could be that I got used to Jim's 10B selling for so long that it just seems like the norm, IDK.
That tool makes it easy to go through and figure out which indicators look good, its a nice snapshot. But there's something comforting to me about looking at my charts. I've gotten so used to them I would feel naked trading without them. Plus i like the visual of seeing the price that the stock bounces off of, the floor and ceiling for the day.
