She told me on the phone today they will not sign the forms. Supervisor is Angela Chisholm in Reorganization and Safeguarding Dept.
I am in process of switching From Ameritrade.
I hoped to get my certs and Share Cert Form before moving my positions. Thought it would be quicker that way. Guess not. It's bye bye TDA. At least most of my PNMS shares are with another broker.
New Info from PNMS re Ameritrade
I am burned out on this task for now, but here's the latest.
Theresa gave me permission to post these two emails from her.
Email 1 from Theresa in response to my description of phone contact with Atrade:
"...they have never and I repeat never sent us a list- we are not even asking for social security nos only shareholder, broker and no. of shares. This crazy- have you gone to an Ameritrade branch with the form and insisted they provide you with YOUR information.

Email 2 from Theresa in response to my asking if they could resubmit NOBO request:
"We will not request it again from Ameritrade because we have asked them for that list repeatedly and could not even get them to call Mr. Terrell back –
The shareholders have plenty of reason to contact local offices of this brokerage firm and ask to speak with a director; /officer.
Frequently, I’ve found doing these types of transactions are more effective in person.
Yes, you may quote me on this information. We are through dealing directly with Ameritrade unless they comply and provide the list which they have chosen [not] to do. We have far more important issues at hand as you are well aware, but all will receive their dividend.

Call to Ameritrade Supervisor Re Share Cert Form
I also emailed this info to Theresa.
I told the supervisor that in the past I requested by fax, phone, and letter that Ameritrade complete the form Share Certification Form for the Divy with a Medallion Signature or Notarized Signature of an Officer. They have stated in email form and on the telephone that this is against their policy.
During this call I was told the following:
1. The supervisor said that in the past PNMS has requested information with regard to shareholders that they do not think is appropriate, i.e. copies of social security cards, social security numbers, copies of driver licenses. They do not feel that such a request was necessary. They also will not provide clients' account numbers due to safeguarding and privacy concerns. She indicated that Ameritrade has concerns about supplying information to Panamersa other than through the "standard means." This does not seem to be consistent with her later statement that PNMS has not requested the NOBO list. I am not sure what was requested by PNMS.
2. When asked about the "standard means," she said that they do provide, through the NOBO list, the number of shares lowned by clients who have agreed to be on the NOBO list, and will provide shareholders as of a certain date if requested, such as December 20, 2006. Information received by the company may include name, Social Security Number, address, and date of birth. She stated that she is not aware that Panamersa has made a request for this list.
The standard procedure would be that upon receipt of the list, Panamersa would send the dividend certificates to Ameritrade and they would then be posted to the appropriate Ameritrade shareholder accounts. The Ameritrade clients could then request the certificates. She stated that this is the "standard means" of distributing dividends, and they do not seem to be ready to change their procedure. I indicated to her that the certificates would be PDRs, and she did not believe that was a problem. If this procedure were followed she said they would be "happy to comply." It appears it would take some time, however, since it would require requesting certificates (a 4-6 week process) after they had the information from PNMS.
3. I asked if there was any way the form would be acceptable to Ameritrade, and she stated that if the only identifying information was name, social security number, address, and date of birth, that might be acceptable, but it would have to be reviewed by officers of Ameritrade first.
4. I asked if the form could be filled out and sent to me personally, since it is my information. She said that they could not do that since they know I would send it to PNMS. They would send me a copy of my account buys and sells, but we both agreed I can get this online. They would not notarize and send such a statement.
5. While I had her on the phone I asked if there was any problem requesting the PNMS stock cerificates. She said this could be done by email or phone, and takes 4-6 weeks. The cerificates do not indicate when they were purchased, however.
Conclusion:
At this point the only two possible ways to get the Divy Certificates would appear to be a) for PNMS to go through the "standard means" described above, or b) to keep pushing to have Ameritrade possibly complete the form without the Shareholder Acct Number and only the number of shares, shareholder name, social security, address, and DOB. The later may have to go through something called the Compliance Department.
Update on TDA refusal to sign form.
As recommended on IHUB I emailed TDA's refusal to Theresa. Today I repeated the request to TDA, by email, by fax, and in writing, to sign Certif Share Form, and added that a notarized signature would be acceptable per PNMS. No response to email or fax yet today after a rather quick refusal yesterday. Monday, when I have more time, I will begin the phone calls to TDA again.
Will keep board updated with any responses.

Ameritrade Refuses to Sign Form. Now What?
In response to a faxed request to sign the Share Certification Form (faxed to Ameritrade at 816-243-3769 ATT: Reorganization Dept) the following email was received. The cover letter did not request that any info be sent to any company, only to the sharehold.

information requested, TD Ameritrade will not submit these forms since it would
be a violation of our privacy policy. The company may obtain a shareholder list

being a holder of record or objecting to receive corporate communications.

I faxed the divy certificate form to Atrade yesterday after talking to them. Asked them to email me when they completed the form and mailed it. They did not seem to be sure how to handle it. No response yet.

Share Cert Form & TDA.
Today I called TDA Customer Service and asked if a local TDA broker could provide Medallion Signature on Share Cert Form. I was transferred to “Reorganization and Safekeeping Department.” Spoke to nice woman who was not familiar with such a form. She asked her supervisor, who likewise was not familiar, but told her they are not sure they offer the service. She asked me to fax the form, which I did along with a cover letter, asking that they fill it out and return it to me by mail. If they could not do this I asked them to suggest an alternative method to certify that I owned PYPR as of 12/20/06.
Initially they said I could take it to any bank and have it signed, which would be a medallion guarantee of my signature, but would not certify the number of shares. This would not be what PNMS is requesting. The form specifically asked for the “Medallion Signature of Broker” who would be the one certifying the number of shares.
My understanding of the Medallion Signature Guarantee is that the signer guarantees your signature when transferring securities. TDA said that they were not familiar with the use of the Medallion Signature as requested by PNMS since there is no place on the Share Certification Form for the signature of the owner of the stocks.
They seem to have a point. Are we sure PNMS is using the “Medallion Signature Guarantee appropriately? See definition below:

A Medallion Signature Guarantee is a stamp provided by a financial institution that verifies your signature. You endorse the certificate on the back and have the signature(s) guaranteed by an eligible guarantor institution such as a commercial bank, trust company, security broker or dealer, credit union, or a savings association participating in the Medallion Signature Guarantee Program approved by the Securities Transfer Association, Inc.
I have asked TDA to call me back with an answer as to what they will do. I will provide more info when I get it.

In response to your request I have attached the trading volume as posted by NSADAQ.com for the last 12 months. As a unsolicited pink sheet issuer, market makers purchase the stock as requested by their clients, which would explain variance in daily volume.

I sent a second email asking if anything needed to be done, e.g. permission, identifying data, etc., to permit Panamersa to get information regarding number of shares held in order to distribute divy. This was the second answer from TDA after a confusing first answer.
From TDAmeritrade:
'You do not need to take any action. This information is automatically provided to companies when requested and such requests are quite common for the purpose of spinoffs and other corporate actions."

Response from TDA. Makes no sense.
Got the following response to my email to TDA giving permission to release information about name, number of shares to pnms (pypr)in order to collect the dividend. Their response makes no sense to me. Anyone else been in contact with them about the dividend?
"We have received other inquiries about a planned issuance of new PYPR shares; however, no official announcements have been received. Due to the risks associated with receiving accurate and timely information concerning corporate actions on Pink Sheet and Bulletin Board securities, TD AMERITRADE will post the shares once we have received them from the transfer agent. Typically, this will take 2-3 days after the effective date of the corporate actions depending on the transfer agent.
