Looks like they just "delayed" the merger over there...not that there was ever one to begin with (non-binding as always)...
But the SEC investigation on both companies will make sure one never happens. There will be arrests, IMO.
The fallout will be large.

Like I said...there are no sales, it's a share selling scheme that the SEC and ASC have come down with their harshest punishment (though AEGY will likely be revoked) possible to this stage.
The indictments against the insiders and undisclosed promoters will be coming as well.
The company has failed repeatedly to actually do what they've claimed, including ALL merger discussions.

Looks like he took someone's position out for 2 million a few minutes later, the last trade is showing 2,783,360 at .001 so someone was lucky enough to get $2,783.36 (or wouldn't it be half and half?) for their position.

I'm sure screen captures have been made of everything Mr. Apel has posted on facebook. Deleting them won't erase them.
And as for him not "wanting to help in the prosecution," if subpoenaed he'll have two options...roll, or be rolled on. Until he provides the Feds sufficient evidence to the contrary (i.e. entering his statements under oath), he's a big part of the case.
My guess is EVERY email will become part of the case.
And much as he's being attacked, I'm sure I-Glow will be moooooore than happy to submit all of the emails he's received.

It was just a matter of when the SEC stopped the scheme from taking money from too many more marks.
Combine this resignation with the lack of merger, the red flags that you've pointed out for the last 17 months (and were right about on all fronts), and the SEC's statement in suspending BOTH companies together, and you've got a recipe for some dandy criminal/civil charges forthcoming against all those connected to the scheme.

Rule of thumb is to get your initial out ASAP, ride profits. Obviously if you don't get out fast enough, those profits dwindle. I suspect many got caught with their hands in the cookie jar, and didn't get out their initial investment, no matter what they state otherwise.
The bigger question will surround the breadth of the SEC/DOJ investigation as to who was profiting. Undisclosed promoters, insiders, entities of parties discussed on any press release/websites that promoted SKTO, all will be in the line of fire.
Wonder if Apel will expand publicly on his departure more than he has so far.
And I wonder if he takes Hoye down in the process.

My bet is that with Hoye on the SKTO board, Apel wanted to distance himself from the mess, knowing that Hoye is now going to go right down with Benz and crew. If there were anything to give Apel something from any merger, he wouldn't have left.

He's behind using the "medicalgreens.com" to link to SKTO. Who is going to fight it? The goal is simple. Create something that looks like legitimate connections in order to SELL SHARES.
iEquity owns majority stake in AEGY. They are not going to allow anything to make it look like there's something improper. If perception is reality, they are using that to keep their marks.
SKTO never "acquired" Medical Greens. Shares never changed hands.
SKTO never "acquired" anything. They never were "acquired" by anyone or anything.
It was all a ruse to sell shares.
And it worked...until the SEC stepped in.
Now, they're connecting the dots, and setting up the criminal charges to follow. And as CBM said, they'll trail it back to anyone, including undisclosed promoters, too. Gonna be a wide net.

Except that SKTO owns none of this.
None of the deals that put BBIO, Medical Greens, etc, into the hands of SKTO were consummated because no shares changed hands.
So anything BBIO is doing is their own. It's why SKTO/AEGY aren't mentioned by them anymore.

There is no selling because to have a seller there has to be someone willing to buy your shares.
The only ones "buying" are buying from each other.
Of course, the wash trades don't help on taxes. The IRS will make sure of that.
I'd expect lots of "registered mail," I don't think that's a good thing. There's always the knock on the door followed by "you've been served." I'm sure those are fun. And there will be the time Mr. Benz and company will get that "other" knock on the door.
I'm looking forward to the articles that will be written about this company when that happens.

The company claimed millions in revenues, issued multiple press releases about them.
Never collected a cent.
The company claimed mergers, several of them. But with no share distribution, the mergers never happened. Further, ownership of SKTO by iEquity never happened. Nor did SKTO's ownership of Medical Greens. None of it happened. They tried to make it LOOK like it did, but it didn't.
All the financials? A bogus mess. That's why the SEC stepped in.
There are no products by SKTO.
It's over, there's nothing.
Except of course the DOJ stepping in and hammering all the parties involved. ALL of them.
Benz isn't quiet because he's busy doing his job. He's preparing for his life after the trial. He has no shot during the trial. He'll try to roll on everyone, I'm sure.

According to SK3's latest disclosure statement (Q1 2014) issued May 23:
1) The 5mil SK3 Group, Inc Series A preferred shares as payment for IEquity Corp's Medical Greens, Inc. have not yet been issued to or exchanged with IEquity Corp.
2) The 20mil SKTO common shares for BBio have not yet been issued to or exchanged with BBio.
3) The 5mil SKTO common shares to acquire the assets of an unnamed California medical marijuana collective have not yet been issued to or exchanged with said unnamed California medical marijuana collective.
4) The 15mil SKTO common shares to acquire "four unique machines for the extraction and purification of essential oils from cannabis" have not yet been issued to or exchanged with owner of said machines.
What does that mean?

I think it's actually a great thing that there is so much of an attempt to claim revenues and profits in the discussion. This is going to assist the SEC greatly in finding the targets beyond just the officers of the companies. Whether it's less-than-arms-length parties, promoters, or simply traders trying to guide the price higher for personal gain with implications of knowledge non-public, this is where the SEC will gain more knowledge. Not that they didn't have enough to begin with...but it is only increasing by the day. Benz is in huge trouble...that email you posted along with so many others that haven't been posted will become evidence against him. It's why he's been silent on Twitter.
However, the recent arrival of Henry Jan's twitter activity is a great plot twist. Should serve the SEC well also.

I think what is lost on some is that the only company with products is BBIO, and they are a private company. They were never actually purchased/acquired, because no share issuance took place officially. Same with iEquity. The 60% ownership was never officially passed...just a 50K/month debt to them that needs to be paid in shares, which is likely still not issued, and now that the stock is banished to greydom, never will be, at least not officially. Unregistered shares? I'm sure there are tons.
What will be the undoing of BBIO is Hoye's acceptance of a position on the SKTO board. It was previously posted that money from any criminal enterprise used for payment of any asset in any way could cause seizure of the asset. Any connection could be the end of BBIO as well. Unintended consequences, so to speak.
Kevin Allyn might want to put up another Technorazzi article, paid for by him, to try and distance himself from this scam. The only rain he's brought is hailstones from the SEC. They hurt.

I'm pretty sure few longs are taking advantage of anything, as the stock has had as much volume in the last 5 trading days as the first two days after the holiday...and that's not much. Volume has died. A dead cat volume attempt doesn't fool the masses.
Pharmajanes isn't the property of SKTO. And it hasn't been making any money. Just look at the filings. Nothing. Zero. Nada. Despite pictures of phony sales, the reality was they made NOTHING.
You're invested in a share selling scheme that's run out of an outlet to further dump shares beyond those thinking they'll be able to one day sell them for a profit. Unless it's a group of guys swapping shares amongst one another, it won't happen. The trading has shown that. The SEC didn't throw a road block, they put up a nice big neon sign. ROAD CLOSED. And behind those signs are folks at the DOJ just waiting on those who try to navigate around the cones. The company hasn't replied. It tried a last gasp to get people to take their shares. Worked for one day...as 83 million switched hands. Barely topped that volume in the total days since. The only colors the company insiders will come out with are orange and black. The DD leads to explaining why the SEC hammered them.
Believe the SEC.
Their record's pretty solid.
