IMO the fact that Vanden Berg didn't sign that POS AM is very interesting. now couple that with the fact that Nielson is listed as Chairman, and the direct ownership of Yorkville (Cornell) that Nielson's ADVC sub Hudson had/has.
smells IMO like a scam coup d'état that maybe Vanden Berg had the good sense to avoid IMO.
and as for the "conversion price," here's what yesterday's POS AM states about that:

given how much effort is reportedly put into the wording of everything in Innova's SEC filings, at least according to Mr. Fun, seems that IMO they are perhaps already being sued, although some time after March 31st, and that insiders (at least those of the "director, officer or affiliate of the Company, any owner of record or beneficially of more than 5% of the common stock" ilk) aren't suing the company... yet. IMO.

NOAA vessel to explore undersea unknown
By RANDOLPH E. SCHMID, AP Science Writer Fri Aug 24, 7:50 PM ET
WASHINGTON - Undersea explorer Robert Ballard (NO, not that one!) leans back and smiles at the screens arrayed above his desk. One displays a view of a remote operating vessel, another scans along a seafloor never before viewed by humans.
It's the Black Sea, not far from Ukraine, a region long closed to outsiders and now yielding a treasure trove of Byzantine vessels that met their ends 1,000 or more years ago.
For Ballard the archaeologist, those vessels and their contents are a delight.
For Ballard the explorer, the modern technology he's testing for the National Oceanic and Atmospheric Administration is pretty exciting, too.
Thanks to the massive speed of modern communications, talking to him from a desk in Silver Spring, Md., while he is aboard the research vessel Alliance in the Black Sea is almost as simple as talking to him in person.
And that's the idea.
Ballard is testing a system planned for use aboard NOAA's new vessel Okeanos Explorer, scheduled to go to sea next year as the first U.S. government vessel dedicated to exploring unknown parts of the ocean.
"Its mission, literally, is to go where no one has gone before on planet Earth," Ballard said.
"That means that the exploration could encounter a biological discovery, a geological discovery, hopefully for many of us an archaeological discovery. So there is no way of knowing in advance what the discovery is going to be," he said.
The plan is to have dozens or hundreds of scientists participate without ever having to leave their homes and universities.
The ship will be in high-speed communications with a center at the University of Rhode Island, and from there via Internet2 to universities and science centers across the country, calling on whatever expertise is needed.
Ballard likens it to a hospital emergency room.
"An emergency room has no idea what the ambulance is going to deliver at 3 o'clock Sunday morning," he explained. "They don't know if it's going to be a head injury, a mother having a baby, a heart attack or whatever," so the hospital has a system for doctors to be on call.
"Now we're doing the same sort of thing in support of NOAA," he said.
The center in Rhode Island will operate like the NASA space center in Houston, which is constantly in contact with the astronauts in outer space, just as Rhode Island will be with the aquanauts in inner space.
Above Ballard's head, the underwater camera continues to move across the seafloor, passing mainly stones and sand and, suddenly, a series of straight lines and right angles.
Those most likely mark a wreck, the remains of some ancient vessel the explorers will turn and scan again.
Unlike other oceans, the deepest parts of the Black Sea contain no dissolved oxygen, so there are no sea worms to devour the wood of ancient vessels.
Off the coast of Turkey, Ballard said he has found a sunken Byzantine vessel so complete that even the 1,000-year-old masts still rise upward. Wreck sites are littered with containers once used for wine, oil, honey and other trade goods.
That's the kind of thing he looks for, underwater archaeology.
But what if he finds some unknown new creature, or strange bit of geology beneath the sea?
That's where the new communication system comes in.
"Scientifically, some of the remote expeditions would have benefited by having more experts on board and this is a way to get more experts," said Steve Gittings, scientific coordinator for NOAA's National Marine Sanctuary Program.
For example, he said, when researchers discovered hot-water vents deep in the ocean they had to mount additional trips to bring in experts to study the surprising worms and other life that existed in total darkness around the vents.
Now, with high speed communications, researchers would be called in to study high-definition images in real time.
Also, Gittings said, the system will be beneficial for education programs.
In the past, educational efforts were mounted after scientists returned, perhaps months after they completed a voyage. With the new system, students and teachers will be able to watch research as it happens.
This photo provided by the Institute for Exploration and Institute for Archaeological Oceanography shows ancient amphorae discovered in the Black Sea off the coast of Turkey at a depth of approximately 340 meters, and illustrates the kind visuals that can be relayed immediately to scientists on land via a new communications system being tested for the National Oceanic and Atmospheric Administration. Robots Heading to Nevada
By Sharon Weinberger EmailAugust 17, 2007 | 9:43:56 AMCategories: Drones
Robots aren't just going to Iraq, a number of production-ready vehicles will also soon be patrolling an army depot in Nevada, according to Defense Daily (subscription only).
Mdars_many The Army and General Dynamics [GD] are working to agree on a contract that would launch production of a first-of-its-kind semi-autonomous robotic security system, industry officials said Wednesday at the Force Protection Equipment Demonstration (FPED) VI in Stafford, Va.
The first Mobile Detection Assessment Response System (MDARS) will use about six vehicles to patrol Hawthorne Army Depot in Nevada, which primarily stores ammunition.
The contract should be signed in the next several months and, depending on the number of future sites selected, could call for production of 24 to 30 robots, said Jay Rosenblum, director for business development at General Dynamics Robotic Systems.
MDARS vehicles are equipped with a host of sensors that help the robots navigate a course, avoid obstacles, detect intruders and check locks. Humans can remotely operate the vehicles and receive real-time video shot by the robot.
There's no indication the robots will be armed, but the SPAWAR Systems Center in San Diego has tested nonlethal weapons on the MDARS.

Ground Vehicles A Larger Presence At Unmanned Vehicle Exhibiton
By KRIS OSBORN
The helicopter-like RQ-8B Fire Scout unmanned aerial vehicle (UAV) hovered above the runway, ground robots used sensor cameras to beam back images of insurgents in a mock exercise, and hand-held Raven UAVs flew up to transmit video of the surrounding terrain — all at the opening-day live demonstrations for the Association for Unmanned Vehicle Systems International annual show.
The first day of Unmanned Systems North America 2007 was held at Patuxent River Naval Air Station, Md., where some of the 292 U.S. and international exhibitors displayed their hardware and participated in live demonstrations. Overall, more than 4,000 visitors are expected to attend.
A key development this year was the increased presence of unmanned ground systems and ground robots, exhibitors and military officials said. General Dynamics Robotic Systems, Foster-Miller and iRobot were all featured prominently in the demonstrations.
“This is a great time for unmanned ground vehicles. In previous years, there were few unmanned ground vehicles at this show. This year, about one-third are ground,” said Helen Greiner, iRobot co-founder and chairman of the board.
iRobot has more than 1,000 tele-operated robots fielded in Iraq and Afghanistan, clearing buildings and searching for roadside bombs.
Armed Robots
The U.S. Army plans to increase orders of 200-pound remote-controlled weaponized robots now shooting at insurgents in Iraq. The U.S. Army’s 3rd Infantry Division has deployed three Special Weapons Observation Reconnaissance Detection System (SWORDS) in Iraq, according to SWORDS-maker Foster-Miller. The deployment of these machine-gun firing robots marks the first deployment of armed ground robots in military history. The robots are remote-controlled or tele-operated by troops using a joystick and laptop display.
The SWORDS are equipped with five cameras to identify targets, including infrared and thermal sights along with a laser rangefinder. Once targets are found, the service member operating the robot pushes a button to fire the machine gun.
The performance of SWORDS in Iraq has led the Army to begin drafting an operational needs statement so more SWORDS can be ordered and shipped to the war zone.
“This is the first safety-certified armed robot platform in theater today. The express purpose is to send in a robot to those dangerous and dirty locations rather than risk a soldier’s life,” said Tim Everhard, TALON product development.
The machine guns are mounted on the chassis of a modified TALON, a robot made by Foster-Miller to clear caves and search for explosives. Foster-Miller now has more than 1,000 robots deployed in Iraq and Afghanistan.
Able to move at 5 mph, the 200-pound SWORDS robot fires the M249 Squad Automatic Weapon, the M240 machine-gun and the Barrett M109 .50-caliber sniper rifle.
Security-Guard Robots
By next month, the U.S. Army plans to field a security-guard robot that can walk its beat without human intervention, avoiding fixed and moving obstacles and detecting intruders up to 300 meters away.
During the live demonstration, the 9-foot, 3,500-pound Mobile Detection Assessment Response System (MDARS) robot used sensors to locate and confront insurgents in the exercise.
MDARS uses inertial and GPS navigation to roll around at 20 mph while beaming radar and infrared images to a control station, Army and General Dynamics Robotics Systems (GDRS) officials said. The MDARS radar can scan the surrounding area out to 300 meters twice a second, GDRS programmers said.
“Most of the robots we have clearing caves in Iraq and Afghanistan are tele-operated, meaning a human must direct their every move. This robot uses semi-autonomous navigation and can avoid obstacles and find its own way. This is a significant step forward,” said a Defense Department official with the Physical Security Action Group.
The group spends about $40 million to $60 million a year to develop force-protection technologies and is immersed in efforts to find joint-service interoperability among manned and unmanned assets.
The official said MDARS would be the Army’s first land-based semi-autonomous robot.
GD is negotiating a deal, expected to total about $70 million, to provide 24 to 30 robots, said Brian Frederick, who manages the MDARS program at GDRS. The deal includes spare robots, along with supporting systems, training and technical services.
“The MDARS can randomly patrol a certain area or drive along a predetermined path. It can detect intruders using the radar, and send the camera or video image back to the guard station, which can be several miles away from the patrol area,” Frederick said.
The first six MDARS robots, slated to deploy in September, are slated to go to the Hawthorne Army depot in Nevada, Army and GDRS officials said.

Reverse Split Effective When Trading Opens on November 20th; Company Receives New Stock Symbol: "INRA".OB; Company Changes Name to "Innova Robotics and Automation, Inc." Reflecting Its Established Position in the Robotics and Automated Technology Field
FORT MYERS, FL -- (MARKET WIRE) -- November 20, 2006 -- Innova Holdings, Inc. (OTCBB: IVHG) announced today that its recently approved 1-for-10 reverse stock split will be effective when stock trading opens on Monday, November 20, 2006.
Innova also unveiled today a new corporate brand that highlights its competitive strengths in the robotics and automated technology marketplace. Going forward, the Company will be known as Innova Robotics and Automation, Inc. In addition, the Company received a new stock trading symbol from the NASD, in-line with the corporate name change and reverse stock split. Beginning on Monday, November 20, 2006, Innova's stock will trade under the ticker symbol "INRA".OB.
Reverse Stock Split:
Innova recently announced that its Board of Directors authorized a 1-for-10 reverse stock split of the Company's outstanding common stock. The authorization followed Innova's Special Stockholders Meeting on November 3, 2006, where stockholders approved a reverse stock split by approximately 97% of the vote.
The stock will begin trading on a split-adjusted basis on the Over-The-Counter Bulletin Board (OTCBB) when trading opens on Monday, November 20, 2006, under the new stock symbol "INRA".OB. Post the 1-for-10 reverse split, the Company will have a total of approximately 78,694,064 common shares issued and outstanding. In addition, the number of shares subject to outstanding stock options, warrants and other convertible securities will be proportionately adjusted, in-line with the 1-for-10 split ratio. The per share exercise price of those outstanding stock options, warrants and other convertible securities will be increased in direct proportion to the reverse stock split ratio, so that the aggregate dollar amount payable for the purchase of those shares remains unchanged.
"The reverse stock split is an important step forward for Innova, as we believe it could create a more effective market for our shares and provide an enhanced platform for long-term growth," commented Walter Weisel, Chairman and CEO of Innova. "We believe that we have the fundamentals to support this improved capital structure."
Corporate Name Change:
Innova also announced today that it has changed its corporate name to Innova Robotics and Automation, Inc., effective on November 20, 2006. The name change more closely aligns Innova's identity with its core expertise in the robotics marketplace and underscores the Company's overall dedication to technology and innovation. Innova is a leader in the robotics and automated technology fields, providing robotic hardware and software systems-based solutions for the manufacturing, homeland security, first responder, and aerospace industries.
"Innova's new name reflects our focus on advancing robotics technology and clearly defines our corporate identity for customers, partners, and investors," said Mr. Weisel. "Operating as Innova Robotics and Automation, we look forward to further developing solutions that we believe will add value for our customers and enhance Innova's long-term growth."
In addition, no corporate or subsidiary leadership changes will occur in conjunction with this announcement.

"I have lived, worked and played in Southwest Florida for the past twenty-three years. As an entrepreneur, I have successfully grown and sold two companies and took another public. I am currently a member of the Board of Directors of that public company as well as being involved with a local real estate investment company. Two of my main passions are golf and real estate. I am very fortunate to be able to indulge myself year-round with both of these in sunny SW Florida."

We have financed our acquisitions and investments principally with short-term borrowings, which were provided to us by Cornell Capital Partners, L.P., a private limited partnership ("Cornell Capital"), and cash received in exchange for the issuance of 4,200 shares of our Series A Preferred Stock to Cornell Capital. We have funded our ongoing operations through cash distributions received from (i) our investment in Yorkville Advisors, an investment management partnership, and (ii) working capital generated by Cyber-Test, our core operating business. Our cash and cash equivalents totaled $1,193,170 at June 30, 2004.
On July 16, 2003, we entered into an Equity Line of Credit Agreement with Cornell Capital Partners, L.P., a private limited partnership. Pursuant to the Equity Line of Credit, the Company may, at its discretion, periodically sell to Cornell Capital Partners shares of common stock for a total purchase price of up to $30,000,000. For each share of common stock purchased under the Equity Line of Credit, Cornell Capital Partners will pay 91% of the lowest closing bid price of the Company's common stock on the Over-the-Counter Bulletin Board or other principal market on which the common stock is traded for the five (5) days immediately following the notice date. The effectiveness of the sale of the shares under the Equity Line of Credit is conditioned upon us registering the shares of common stock with the Securities and Exchange Commission. In accordance with the terms of the Equity Line of Credit with Cornell Capital Partners, Cornell is not permitted to own more than 9.99% of the outstanding common stock at any one time; however Cornell is permitted to waive such restriction, which waiver is effective on the 61st day after delivery of the waiver to the Company.
During the fiscal year ended June 30, 2004, we made advances under the Equity Line of Credit in the aggregate amount of $725,000 in exchange for issuing 361,956,145 shares of common stock to Cornell Capital Partners. The Company netted $684,125 from these advances after deducting escrow agent expenses and other direct costs totaling $40,875 that have been recorded as a reduction of common stock as of June 30, 2004. These advances were principally used to provide a source of working capital to sustain our limited operations and enabled us to restructure and settle a majority of our outstanding obligations. During the fiscal year ended June 30, 2004, Hudson Street received $335,000 of partnership cash distributions from Yorkville Advisors. We believe that our existing sources of liquidity including cash resources and cash provided by operating activities, supplemented as necessary with funds available under our Equity Line of Credit arrangement, and distributions from Hudson Street's investment will provide sufficient resources to meet our present and future working capital and cash requirements for at least the next 12 months.
{snip}
CHANGE IN NET ASSETS
As of and through June 30, 2004, the Company experienced material changes to its net assets from its prior fiscal year ended June 30, 2003. During the fiscal year ended June 30, 2004, the Company purchased the business and operating assets of Cyber-Test Florida and through its wholly-owned investment subsidiary, Hudson Street, made a minority investment in the amount of $2,670,000 in Yorkville Advisors, an investment partnership. As a result of the Cyber-Test Florida acquisition, the Company acquired total assets of approximately $1.6 million, consisting principally of cash ($643,195), accounts receivable ($391,101), inventory ($350,480) and fixed assets ($166,516) and assumed $313,091 of liabilities, which consisted principally of accounts payable and accrued expenses. The Company also recorded goodwill in the amount of $2,445,592 associated with the Cyber-Test Florida acquisition. In addition, during this period, the Company acquired the license rights to certain intangible assets of Innova Holdings, Inc. (formerly known as Hy-Tech Technology Group, Inc.) and its wholly-owned subsidiary Hy-Tech Computer Systems, Inc. for $503,300, and settled approximately $2.2 million of liabilities for stock and cash resulting in $780,938 of forgiveness of debt income. The net effect of these transactions on the balance sheet was to increase our net assets by approximately $7.9 million.

sort of how innova director nielsen likes yorkville (aka cornell)? he seems to have liked 'em so much that another one of nielsen's OTC "companies" actually owned equity in a cornell entity (yorkville advisors).

guess it all depends on the viewpoint chunga.
for example, if you were a crooked OTCBB exec, you might see it somewhat neutrally, or somehow rationalized as evolutionary and representative of funding for the "finer things" that you had come to be entitled to over your bloated career of BS, and the "unsophisticated bashers" who believed your lies simply deserved to have their money taken,
or if you were a stakeholder in some sleazy Jersey City loan shark outfit, you might just see nunthin' but dollar signs and a new maserati.
or perhaps if you were a regulator or a prosecutor, you just might see a cancer on the capital market that required surgery.
of course, this is all JMHO...
perhaps in theory... but of course that assumes the 2 variables, and only the 2 variables, exist in the abstract.
here is some reality depicted visually -- and underneath the happy sounding PRs here is a brutal and ugly story of rather ordinary hubris and avarice and deceit.
when weisel first IMO lied IMO to investors about how the $2.8M Cornell financing was "fixed" at $.40, the stock was around $.20 (split-adjusted) and moved to just under $.40 in the next week or two thereafter. the stock is now less than 1/8 of that, down about 85%+
compare that with some other companies that IMO Cornell helped to destroy. i can only wonder just how many of those companies were legit, and how many took the Cornell cash to fund their piggish greed, and used average investors to accomplish that.

The files also show Weisel signed personaly for $1,000,000 to go into the company to protect guarantee the loan from the SBA when the company could have easily gone under.
