Does this prospectus fix suggest they're looking to issue more shares?
Looks like it's gonna bounce tomorrow
It'll only happen if shareholders vote for it. Voting will not be done until July 28, 2011, so there's not much to worry about till then.

I was responding to Seven's question on why the price might have dropped from 0.41 to 0.041 back in 2010.
It's right there on that link I sent.

There's nearly 4 pages of the officers selling their shares in March
NASCOW, I used to believe you were one of those speculators that shined a light on to EVCA despite the hype. But after that post I feel like you've really gone down the wrong path-basing it off a e-mail of ALL THINGS especially from someone like the poster you mentioned.
A quiet period not based off the SEC? Then why be in the quiet period at all if it's not imposed by the GOVERNMENT?!
I still believe the quiet period is done per SEC, as it is the ONLY reasonable reason a company could be in a "quiet period."
Granted, you mentioned the legitimacy of it has not been verified, the legitimacy of a company being in a quiet period due to inadequate SEC filings is more convincing to me than an attorney saying they should not release filings-simply because more people have reported SEC being involved with a quiet period.
I DO agree that the quiet period has nothing to do with financing or Dezer tho'-although that WOULD be great-it's not something that current or past rumors have hinted to.
Anyways, let's go EVCA! I hope we get some good news out soon :)
The article's that's affecting the quiet period:
Looking back to the time period Randolph(The SEC Attorney) is referring to is the S-1 from. It was filed in July and amended TWICE in August
S-1 Original July 27, 2010
http://ih.advfn.com/p.php?pid=nmona&article=43766130
S-1/A August 3, 2010
http://ih.advfn.com/p.php?pid=nmona&article=43860004
S-1/A August 25, 2010
http://ih.advfn.com/p.php?pid=nmona&article=44138176
I've looked through and compared each one and they've added quite a few things on each article.
In the one amended August 3, 2010
The whole F-1 section was modified and added quite a bit
Page 28 of that same S-1/A file
This was added:
In the late August 25, 2010S-1/A Page 25, the Underwriting form was drastically modified-and is the only thing changed from the earlier august amendment:
What does this all mean? Well, for sure, they're responding to the SEC's wants, but they haven't filed a new S-1/A to correct any other amendments. And apparently we won't know until the late august amendment get's accepted or they submit a new S-1/A.
It makes me wonder what's required of the S-1 that's missing from their current one.
This isn't making me feel good...
Duke, that's gotta be the only post I really agree with you on.
Anyways, I'm hoping for another form 4 so we can see who will pick up that last 5,000,000 of Preferred B shares.
I'm hoping it's someone out of the company :)
I feel like today is just going to be another day of low volume
I don't understand why people are saying CANT was acquiring shares Friday when they were only on the ASK that day. They were on the ASK because they're ASKING you if you could by EVCA stock for that price from them.
It just looks like dilution to me-hence the drop
If I remember correctly, there's 5,000,000 Preferred Class B shares that's left from the allotted 20,000,000. If someone were to buy 5 million common shares-like Dezer per se, they could potentially convert them into Preferred Class B and thus be granted 1,000 votes.
Just thinking out loud. I'm hoping for a Form 4 to be released soon :)
No one's going to believe the next merger deal if we keep talking crap about INBG!
Really small volume took us down some more? Awesome! Now I can pick up cheapies when my check comes in :)
I don't think so.
Outstanding shares are shares that are held by public, officers, and insiders as well.
From investopedia:
What Does Outstanding Shares Mean?
Stock currently held by investors, including restricted shares owned by the company's officers and insiders, as well as those held by the public. Shares that have been repurchased by the company are not considered outstanding stock.
http://www.investopedia.com/terms/o/outstandingshares.asp
Here's something interesting I found:
"Convertible
Holders of preferred stock are sometimes offered the option of converting their shares of preferred stock into common stock at a predetermined ratio. This convertible feature is attractive to holders of preferred stock because they are entitled to the steady stream of dividends, plus they can enjoy appreciation in value if the company's common stock rises."
http://www.money-zine.com/Investing/Stocks/Buying-Preferred-Stock/
After reading this, I'd have to side with NASCOW that they might be holding them for dividends.
If they're holding for dividends then I think it's because they believe they're going to be big in the long run :)
Look at the price they disposed the 5,000,000 shares for, it has a comment of (1) on it:
Explanation of Responses:
( 1) Share exchange.
( 2) 1:10 shares of Common Stock.
( 3) No expiration.
They disposed of 5,000,000 shares because they were EXCHANGED into Preferred Class B shares per the 1:10 ratio as stated by comment (1) and (2) in table 2.
They were NOT sold as I first stated, that was totally incorrect of me back then. Just exchanged into preferred shares.
What does it mean?
It's anyone's guess
Your right, I jumped the gun earlier, it is a share exchange.
If you notice they ACQUIRED Class B Preferred stock at a 1:10 ratio of common shares. So the 5,000,000 that's mentioned as sold in the financials is really just a conversion to preferred shares.
Class B Preferred stock isn't mentioned in any of the previous 10Q's so it's a new one they've made recently.
Wow, looks like Frolov did the same!
http://www.otcmarkets.com/edgar/GetFilingHtml?FilingID=7842761#DOC1_HTM_F1
Looks like Prous did the same too...
http://www.otcmarkets.com/edgar/GetFilingHtml?FilingID=7842761
http://www.otcmarkets.com/edgar/GetFilingHtml?FilingID=7842512
It says Scott exchanged his preferred shares into 5,000,000 common shares
And then sold all 5,000,000 on the 28th of March.
That's when we were in the 0.018 area
Woohoo, we're even! Time to go GREEN!
http://www.transmedics.com/wt/page/pr_1177004340
If you check the site, they're still under clinical trials.
TransMedics
Because they're actually doing trials already in contrast to a company "preparing" to do trials
ALZM's FORMER owner was based in the Philippines, that was when they were a mineral company.
Pretty thin ask
Oy, so much red today =/
Anyone wanna slap the ASK with me?
This is just like yesterday,
when the shorts cover EOD, it'll probably hit 2.5/2.6
JMO
The only thing that's known for a fact is that a paid promotion was done for this stock. Everything else about the company is shady until they come out with solid SEC filings.
Heck, even though they are claiming medical equipment as their product, ALZM is registered as a mineral company from the Philippines!
But if it's going up, why not make a profit out of it?
