All would be under one name/entity. The subs would be either free floating or privately held.
Example: RushNet is the entity. All of Garden is owned by RushNet as a wholly owned subsidiary or private. Apple Rush can be free floating and traded but majority owned by RushNet. That is one way for a divy.
All companies under one name. Consolidation. RSHN share exchanged for whatever the new entity issues.

One good thing, is that they are to be held in escrow: hopefully to hold the deal. I know that some transactions require a good faith deposit. Corr may have pledged the collateral as a good faith deposit.

My guess, it is usually a year. I am sure it will be specified in the contract with buy back from the restricted holder. BUT, who knows, Apple Rush & e-water may just hit it big...

Corr wants the stock according to the e-mail. How? Corr jsut said it, more profits, i.e. e-water produces much more profits for RushNet.

One thing we can speculate is why does it appear that this Georgia plant moving at a pace much faster than when Garden was involved...? Some would say it is lighting fast!
My opinion is that there must be a deal brewing with e-water that would need a fast close to the plant.
We know that:
Gen 2 is in Japan working it;
e-water has attention from the last shows;
some distributors wanted e-water (HIGH MARGINS)
fulvic acid was one of the talks of a recent show which brought some light on to e-water;

Bottom line: Something is brewing...
I can only think of two (2) reasons...
Previous disgruntled shareholders whom sold at a loss and stay on the board trying to push the PPS lower so they can feel better with their decision saying to them selves.."I am glad I sold"...
The other reason are the traders.. day traders live to get that one point lower (than everyone else) at the same time bid wacking the PPS. With day traders, EVERY point counts... As they say, it is easier to get someone to sell rather than convince someone to buy... That one point made the difference in the day and in the life of a day trader..
Suggestion: Suspend payroll to only the head hancho(s) temporarily to save on expenses and put it towards raw material or staff payroll(s).
I think they have made enough from dilution and frivolous spending.
This is how I feel if in fact dilution in deed took place.
What I have learned in business, is when I spend company's money, I spend it as if it were my own.
Basically, I would not spend frivolously, especially since it is not my money and it is shareholder's money.
What happened today, I am unsure if dilution took place. If it did, I feel that the PPS would have fallen significantly more rather than the flatline/narrow channel it is now.

Possible answers:
To keep the PPS low for a genuine buy back?
At the same time with keeping the PPS low for buy back, appease the masses with some sort of update/PR?
Get some momentum in the buyer/distributors first before releasing the names so that investors and sabatogers will call and harass these buyers/distributor with all kinds of calls?
Investors disecting each and every PR and calling it "fluff"...
Corr does not want to let too much out of the bag too soon because of past experiences of failure?
Releasing information to an audience that has not fully packed the room? Ie, no volume…
Corr being stratic in that he will release meaty PRs when the audience is larger and listening?
Corr wants to do an interview on some radio type show to get the audience up (volume) so he can release these meaty PRs strtickly?

One thing I know (or feel), when a corporation is very concerned about the PPS, I feel that business is not doing so good. When a corporation's concern for the PPS passes or no longer becomes a priority, that means business is doing good or very well… There will come a time where Corr wants the PPS to increase for the investors as well as filing his Form 144 to cash in on his personal achievement.
To me, I feel that Apple Rush and e-water are so much a success that the PPS is no longer a priority and they other things to take care of... They say "patience" is key... We will soon be rewarded for our patience...

Anyhow, it does look like we are all headed in the right direction.
No ticker until traded. It is currently a privately held entity.
I can tell you this for sure in the Currency Markets, the broker/dealer/market maker the firm I use to work for admitted to me that they often short or take the opposing side of the order our firm puts in. (I do not believe it is a secret in the foreign Exchange Markets) For example, I were to buy $/Yen on 10, the broker/dealer/market maker would short $/Yen on 10, taking the opposite position. BUT, broker/dealer/market market would also tell me that at the end of the they would be flat or neutral by off setting or settling all their positions into the market to another broker/dealer/market maker.
The only reason why they told me the info was probably because I was buddy - buddy with the guys at the broker/dealer guys.
If this is true in pennies, that could be "one" explaination we see after market trades. The question is if the penny market makers hold their short position and for how long and if they do off set their positions into the market.
I think AK47 is doing a great job as a moderator and being fair... I would fully back him up!
With a huge contract, the Buyer has to be sure supply can be kept up by demand for the product. A huge Buyer/Order will not be consummated unless there is a guarantee of delivery.
I LONG TIME AGO, I had a friend/contact in Thailand that wanted me to try and get production/manufacturing of Victoria Secret apparel to be shifted from Sri Lanka to Thailand. I could not do because of the fact that Victoria Secret required huge commitments. I mean huge. My friend even offered to pay for all accommodations, i.e., flight, hotel, food, expense account, etc., if I could convince the Buyer's Agent of Victoria Secret to tour the manufacturing facility and meet with the officers.
Never happened…(otherwise, I would have been retired at such a young ago from the commission and royalties I would have made of the deal).
RSHN has a chance in the fact that there is a bottler producing product as we speak (that is the momentum)… the only thing is accommodating… the demand from a schedule stand point. If it just stared producing, that would be a different story (Energy to move from a stand still vs. mass already in motion). The reason why I think this will happen is because I believe that the 49% of Apple Rush may not be Corr's private co. I believe it could be some how associated with the bottler.
How else can RSHN come up with approx. $1,000,000 worth of raw material to produce Apple Rush? Why is this bottler complying with Organic Certification and having their facility inspected and working closely w/ RSHN (when at the time, Apple Rush was just a dream and RSHN really had nothing except e-water)? Private placement was conducted in Minnesota recently. There are too many things to list that points to Corr not being the beneficiary of Apple Rush (49%).
As I said before, KeKe show is really going to be exciting…
We all know Apple Rush is really creating a buz with every show it has been at and as more accounts/distributors sign up, the more we are exiting the start up stage and enter the growth stage… it appears that we may just enter the explosive stage with the info we are getting from great people like Chrispy, Docday, Solidgold, and others I have missed re: conversations, meetings at shows, etc.
I truly believe that we are about to make history… based on all the information known…

None of those are going to happen, imo. It will not go to .0001/2 or .0007. I truely believe we are at the bottom technically, i.e. double bottom and according to Mary, a possible head and shoulders. It really is not a make it or break it dead line. It will be business as usual... with no change. People already have their minds set.
Although, I do agree they should report, which I believe they will since Apple Rush is doing very well and is well received.
Their are several shows coming up... Every show RSHN & Co. had (when Apple Rush was introduced), so far they have signed on new distributors, had pre-orders, orders and commitments. These are very good indicators as to how much RSHN are selling products. You got to remember, when selling to an independent store is one client, selling to a chain (big or small) is a group of clients, selling to distributor, depending how big the distributor is multiple sales/clients and we have only hit the Chicago area and New York area. Now we are going to a Nevada show. Guess what is going to happen? With what is happening from the previous shows, it looks as though we may sign up more clients. As RSHN & Co. attend these Trade shows, our products are being spread around. Plus, do not forget the reorders... This is the domino effect in motion.
The KeKe show is comming up... now we all know that KeKe supplies Kroger... That is a major national contract. We still do not know know happened w/ Whole Foods.
We are at a point where Apple Rush alone is bring in about $100k per month. This is only the Chicago area before hitting New York. Add New York, figure the increase in revenue. Add what we will add from Nevada, and so on and so on with every trade show no...
Apple Rush is the star product and E-water will not be far off... Just wait untill we get approved for sale in Japan...Japan = $$$$$ Ginseng and other Rush products are just the icing on the cake...

Solution: Water does not have to be shipped halfway around the world. RSHN can ship the concentrate to where ever (or have the military ship themselves have us tax payers foot the bill) the water is being bottled and blend the concentrate together in their blending tanks.

No, because the same amount of shares will be in RSHN's hands unless they decide to change the 51% split. So basically, it would not matter whether it was a freely traded for closely held. The only deciding factor is if they intend to change the percentage.

Better than paying someone/agency to advertise at the cost an agency dictates. At least this way, the cost is only the cost to produce the e-water which is a faction of it sold at and practically nothing...

It also appears that by listing there, there might be a buyer. How substantial, stay tuned. One thing for sure, Chinese crave "American" products. Pretty good though, we get the advertisement, brand recognition, test the market for E-water, local to Chicago, charity event, donation, etc. all while getting a tax deduction and advertisement at the cost of just producing and bottling the water.

Really hard to say. Corr says the ones from Dec 06 will receive it but, then again, there was no x date. Then again, Corr may just issue a new date. Or commit to his word doe Dec 06 AND another divy. Rumor was also Garden divy.

Actually, the trader buys on rumor and sells on the news... I just think Bob was unexperienced when he become a CEO of a public company and spent money friverously.
I learned when I worked for one of my previous employers some time ago, "spend the company's money as if you were spending your own." He basicly said to be frugal. I had an expense account (small) and never really under stood that until I owned my own business (which sold recently).

Joint venture: Kraft, Whole Foods put up the capcity to manufacture or distribute and take over trademarks and rights hence the need to consolidate RSHN products under one idenity. Original shareholder retain a very small % of shares and Big Boy retains most. Unlikely...?
Buy out: Kraft, Whole Foods, etc., does not want RSHN, but just wants Apple Rush.... Hence another reason to cosolidate all procts under one entity. Saying to big boy, you can jsut buy one product from us, but you must buy there entire entity which includes everything...
Reverse merger: Find a shell and everything is concolidated under that entity, ie Distributiion arm, Organic Trading Agent (Rush), Apple Rush, and Rush Bev? This entity become reporting...
