In the end, it sounds like nothing unexpected or new. I haven’t had a chance to look at it yet.
Not to be negative though, if it summarizes some things for people that like to read the 10k and have trouble finding it elsewhere then that’s a good thing for them. And it’s good to have it in an official filing. If it hasn’t been already.
The “on rhe fencers” or the outright skeptics could chamge their minds if such information is shared.

It's also just an interesting detective story.
Something doesn't smell right with this company and I have found it quite the challenge to put it all into the proper perspective.

Several here said March 1 is as long as they would give the company to follow through on their multiple deals stated to be nearly complete on Dec 4.. One more day for them to announce one of their multiple deals and the lack of credibility will be confirmed in the minds of several long timers here.
This appears to be just one more in a long series of misleading statements and obfuscation by the company.
The dreaming longs just make up new excuses as if it is the first time its ever happened.
One of the most BLATANT examples was the "commercial acceptance" deal announced just before the ASM. The first deal ever in the company's history - so great that they used it as the reason to not go over the prior year goals everyone had been anticipating - AND YET the deal was not even materially significant enough to file an 8k for? Swamp land for sale.
Anyone who can't recognize the farce of the last ASM really shouldn't be investing in stocks.

Credibility of the CONTENT is what matters. I don't care about his personal life. I care about the content of what was written. If I was investing in KD then I'd pay more attention to his personal life.
The first and longest report about Lightwave and it's a doozy of an attack on their credibility as an honest company. The fact that for 10 years in a row Lightwave said planned to commercialize their technology that year means this attack should be looked at for how accurate it is. Richard was the only one to report his views...so I have no problem asking Druid what his views are since he seems to knows far more than Richard - who I recall works for or heads up an investment fund.

PDK completion. That's what was expected and - as you agreed - so was a license tech transfer with a large foundry.
Here we are without one yet...but we did get that wonderful Polariton deal - can't wait to see the huge revenues in the 10k!

Again, your memory is faulty: The expectation was for a MASSIVE commercial deal with the likes of the largest foundries in the world, to be announced in a JV partnership PR by year end 2022 - then year end 2023 once the PDK was finalized.
Then we got hit with the whole ALD process no-one anticipated, and then the Dec 19, 2022 shareholder letter came out and everyone learned that the PDK process was actually 2 steps - a front end and a back-end, but still many were shouting from the rooftops against all common sense that the company had completed PDKs with foundries and a deal would be "any day now".
I started asking just a few months after I got here whether the company was really hobnobbing with the bigwigs or was more like a JV player trying to get noticed by the coach so he could be promoted to the varsity team. We got our answer.

Druid, in June 2022 the longest analyst report ever written on Lightwave was published and it was a scathing report.
The company said it was full of misstatements but gave no examples, as did many shareholders.
The report was by an outfit with a questionable reputation, which shorted stocks typically, named Kerrisdale

I would be very interested to know if you find the report to be a blatant attempt to mislead investors re the technology on the part of Kerrisdale, or if their points are valid. The board decided the report was full of errors and quickly wanted to move on. I never was satisfied that the report was taken seriously enough, but now that you are here I see this as an opportunity to learn more about that report.

Reality check: 10k nothing earth shattering because nothing really significant has happened.
No 8k on rhe first commercial deal announced on the morning of the ASM should have been a big clue; The deal was not materially significant. They did 8k the ECOC presentation so maybe that was significant, but here we are 5 months later and ...crickets.
This isn’t me being negative. This is the definition. 8ks are required for materially significant news. The shenanigans on the day of the ASM showed us what this company is about.
The deal was important enough to not review their own goals, yet not important enough to announce in an 8k

The stock has a huge $500m PREMIUM, is among the top 3% of all stocks shorted, and has a market cap 9 times historical average despite showing little clear evidence of near term success. One of only a dozen companies pre-rev with a dazzling $500m mcap. $500 MILLION dollars! And for what? Nobody really knows.
Anyone who thinks this is cheap is operating on a whole other level. Sorry but that’s the reality. The “it must be complex” and “ it’s so great that everything is a secret” investment philosophy's used to explain away the constant delays and that have become the default are not much more sophisticated than pure gambling.
Those philosophy’s might have more merit if the company would do what they say they will do and explain why it all is taking far longer than they have led shareholders to expect.
Yeas the near term is very precarious as OFC could surprise on the upside or come and go as usual and the company enters it’s 11th month since the first commercial deal with little evidence of progess.
Complex negotiations for 11 months? Not many will be able to still believe it.

I think they probably are but how that's going is anyone's guess.
"Planning to implement" is the latest wording. Dr Lebby changed from "implementing" to "planning to implement" for a reason. What is the most likely reason he did that?

That's quite a stretch. IMO he was referring to 2023 - because when one says "this year" they don't mean "next year". And when one says "the BALANCE of this year" they are talking not about a financial balance!. That's not how people talk. They are talking about the remainder of the current year.
His last sentence is almost certainly a summary - referencing the current year (2023) and the next year (2024).
You may be right about the NDAs Lewrock But it’s an unfalsifiable claim. Outside of that we have to look at this:
Does the company do what they say they’re going to do?
The answer is mixed. They have gotten foundries to produce their modulators. And some of the modulators with their perk have lasted a very long time. And they have expanded their space and staff. But overall It’s just so little to go on.
In terms of meeting goals, they just haven’t met many of them on time. And they appear to intentionally cover up that reality.
So that’s the counter to the progress that is claimed.
Why do you think Dr. Lebby changed his wording from saying they are implementing to say they’re planning to implement? Why do you think he said what he said in the December 4 letter and here we are almost 3 months after that with nothing? To me, those are legitimate questions. Many on the board not only give them a pass, they berate those who ask these questions.
You seem to be one of the more reasonable longs so I’ll ask you: do you agree that it’s important to hold a company accountable for the things that they say they will do? And how do you explain the changes in wording, and the silence since December 4?
It’s one thing to want to remain secretive, yet it’s a whole other thing when they don’t do the things they say they’re going to do and when they change their messaging without explanation

I responded at the time that the filings do show expenses for foundry work. At the time they weren’t very large at all. Suggesting the work is not taken very seriously by the founders and certainly not any Tier1 One companies were pushing it.
And It was five not seven. I suggest a mirror once again.
